1. OWNERSHIP & SCOPE

This website (the "Site") is operated by Marketplace Ltd (the "Company"), a company incorporated in the Bailiwick of Guernsey. These Terms govern your access to the Site and the "Early Access" application process.

2. TECHNOLOGY ORCHESTRATION ONLY

Pay.io is a technology orchestration platform. Marketplace Ltd:

• Is NOT a bank, money transmitter, or Virtual Asset Service Provider (VASP).
• Does NOT provide custodial services, exchange services, or payment processing.
• Does NOT hold, manage, or control any user funds or crypto-assets. All financial transactions facilitate through Pay.io are executed solely by third-party regulated entities.

3. BETA / EARLY ACCESS

Access to the "Early Access" Beta is granted at the Company’s sole discretion. The Beta platform is provided on an "AS-IS" basis. We make no warranties regarding uptime, functionality, or suitability for your specific business requirements during this phase.

4. LIMITATION OF LIABILITY

To the maximum extent permitted by the laws of England and Wales, Marketplace Ltd shall not be liable for any direct, indirect, or consequential loss (including loss of profit or data) arising from your use of the Site. Your sole remedy for dissatisfaction is to cease using the Site.

5. GOVERNING LAW

These Terms and any dispute arising therefrom shall be governed by and construed in accordance with the laws of England and Wales, subject to the exclusive jurisdiction of the English courts.
